Welcome to Carbette LLC (“Carbette,” “Company,” “we,” “our,” or “us”).

These Website Terms & Client Policies (“Terms”) govern your access to and use of Carbette’s website, client portal, digital resources, online services, recurring Growth Plans, Statements of Work, proposals, invoices, marketing services, websites, creative work, consulting services, and related business activities.

These Terms establish the general policies under which Carbette conducts business and are incorporated by reference into any Master Client Services Agreement (“MSA”), Statement of Work (“SOW”), Proposal, Quote, Estimate, Growth Plan, Invoice, Payment Authorization, or other written agreement between Carbette and its clients.

By accessing our website, using our client portal, purchasing services, or engaging Carbette for professional services, you acknowledge that you have read, understand, and agree to be bound by these Terms.

If you do not agree to these Terms, you should not use this website or engage Carbette’s services.

If you have executed a written agreement with Carbette, including a Master Client Services Agreement, that written agreement shall govern to the extent of any conflict with these Terms.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you (“Client,” “Customer,” or “User”) and Carbette LLC.

Your acceptance occurs when you:

  • Visit this website.
  • Submit an online form.
  • Request a proposal.
  • Accept a proposal.
  • Execute a Statement of Work.
  • Sign a Master Client Services Agreement.
  • Purchase a Growth Plan.
  • Submit payment.
  • Authorize recurring billing.
  • Continue using Carbette’s services after these Terms become effective.

If you are accepting these Terms on behalf of a business or organization, you represent that you possess the authority to legally bind that entity.

2. Website Use

Carbette grants visitors a limited, non-exclusive, revocable license to access and use this website solely for lawful business purposes.

You agree not to:

  • Use the website for unlawful purposes.
  • Attempt to gain unauthorized access to any portion of the website.
  • Interfere with website operation.
  • Introduce malware, viruses, ransomware, spyware, or other malicious software.
  • Attempt to reverse engineer any website functionality.
  • Copy, scrape, reproduce, or redistribute website content without prior written permission.
  • Use automated tools to harvest data from this website except where expressly permitted.

Carbette reserves the right to restrict or terminate access to the website at any time without prior notice.

Carbette provides professional marketing, creative, consulting, and digital services including, but not limited to:

  • Artificial Intelligence (AI)-Assisted Content Development
  • Business Consulting
  • Creative Direction
  • Analytics
  • Digital Strategy
  • Other related marketing services

Service offerings may be modified, expanded, discontinued, or updated at Carbette’s sole discretion.

Nothing contained on this website constitutes a guarantee that any specific service will remain available.

4. Statements of Work, Proposals & Growth Plans

Unless otherwise agreed in writing, all services are governed by one or more of the following:

  • Master Client Services Agreement
  • Statement of Work (SOW)
  • Proposal
  • Growth Plan
  • Quote
  • Estimate
  • Invoice
  • Written Change Order

Each Statement of Work defines the specific services, deliverables, pricing, project scope, and timeline applicable to that engagement.

Only services specifically identified in an executed Statement of Work or accepted Proposal are included.

Services requested outside the approved scope constitute additional work and may require a revised proposal, change order, or additional billing.

Carbette reserves the right to decline additional work requests that materially alter the original project scope until such work has been approved in writing.

No verbal representations shall modify an executed agreement unless confirmed in writing by Carbette.

5. Payment Terms & Automatic Billing

Client agrees to pay all fees according to the applicable Proposal, Statement of Work, Growth Plan, Invoice, or Payment Authorization.

Recurring Growth Plans are billed automatically using the payment method authorized by the Client.

By enrolling in recurring services, Client expressly authorizes Carbette and its approved payment processor to automatically charge all recurring fees until services are terminated in accordance with the applicable agreement.

Client agrees to maintain a valid payment method at all times.

If a payment fails, Carbette may:

  • Retry payment.
  • Suspend services.
  • Pause advertising campaigns.
  • Suspend website updates.
  • Suspend hosting coordination.
  • Delay project work.
  • Remove access to client resources until the account becomes current.

Late payments may accrue interest at the lesser of:

  • 1.5% per month, or
  • the maximum amount permitted under applicable law.

Client agrees to reimburse Carbette for reasonable collection costs, attorneys’ fees where recoverable, court costs, payment processor fees, returned payment fees, and other expenses incurred in collecting delinquent balances.

Carbette reserves the right to require automatic payment for recurring service plans.

6. Refund Policy

Because Carbette provides customized professional services, refunds are limited.

Unless otherwise required by applicable law:

Setup Fees

All setup fees become non-refundable once work has commenced.

Monthly Services

Monthly Growth Plan fees are non-refundable once the applicable billing period has begun.

Creative Services

Completed or substantially completed creative work, strategy, consulting, design, development, photography, videography, copywriting, advertising setup, SEO work, automation, or consulting services are non-refundable.

Partial Months

No refunds or prorated credits will be issued for:

  • partially completed months,
  • unused services,
  • missed meetings,
  • delays caused by the Client,
  • failure to provide requested information,
  • failure to approve deliverables,
  • changes in business priorities,
  • discontinued marketing campaigns,
  • or unused portions of a Growth Plan.

Billing Errors

If Carbette determines that a billing error has occurred, Carbette will promptly issue an appropriate correction, refund, or account credit.

7. Initial Term & Renewals

Unless otherwise specified in a Statement of Work or other written agreement, recurring Growth Plans begin upon execution and remain in effect for an initial six (6) month term.

Upon completion of the initial six-month term, the agreement automatically renews on a month-to-month basis unless terminated in accordance with these Terms or the applicable Master Client Services Agreement.

The initial six-month commitment is intended to provide sufficient time for strategic planning, implementation, optimization, and measurement of marketing initiatives. Client acknowledges that meaningful marketing results often require sustained execution over time and agrees that this initial term is a material part of the parties’ agreement.

Client Relationship, Website Management & Project Administration

8. Cancellation

Unless otherwise provided in an executed Master Client Services Agreement or Statement of Work, recurring Growth Plans are subject to the following cancellation policy:

The initial six (6) month term is a material component of the Agreement and may not be terminated for convenience prior to completion of the initial term.

Once the initial six (6) month term has been fulfilled, either Party may terminate recurring services by providing at least thirty (30) days’ prior written notice.

Termination shall become effective at the conclusion of the thirty (30) day notice period unless otherwise agreed in writing.

Client remains responsible for all fees incurred through the effective date of termination, including recurring fees during the notice period.

Termination does not relieve Client of any outstanding financial obligations existing prior to the effective termination date.

Unless otherwise agreed in writing:

  • Setup fees remain non-refundable.
  • Completed work remains billable.
  • Outstanding invoices become immediately due and payable.
  • Carbette may suspend services for unpaid balances prior to termination.

Upon termination and payment of all outstanding balances, Carbette will make commercially reasonable efforts to transfer Client-owned credentials and remove its administrative access within a reasonable period.

9. Client Responsibilities

Successful marketing requires cooperation between Carbette and the Client.

Client agrees to:

  • Provide accurate information.
  • Supply requested content, branding assets, and approvals in a timely manner.
  • Maintain ownership or authorization to use all materials supplied.
  • Designate one primary decision-maker whenever reasonably possible.
  • Respond to requests for information within a reasonable time.
  • Review deliverables before publication.
  • Notify Carbette promptly of any concerns regarding completed work.

Client acknowledges that delays in communication, approvals, content delivery, or access credentials may delay project completion and may negatively affect campaign performance.

Carbette shall not be responsible for missed deadlines resulting from Client delays.

10. Exclusive Marketing Relationship

To maximize consistency, protect the integrity of marketing systems, and avoid conflicting strategies, the following provisions apply during any active Growth Plan or Statement of Work.

During the term of any active Growth Plan or Statement of Work, Client agrees not to retain or authorize another individual, employee, contractor, consultant, marketing agency, web developer, SEO provider, advertising agency, or similar service provider to perform services that materially overlap with the Services being provided by Carbette without Carbette’s prior written consent.

Unauthorized third-party modifications may materially impair Carbette’s ability to perform the Services and may:

  • void performance expectations;
  • require additional billable remediation;
  • delay project completion;
  • invalidate optimization work;
  • impair advertising performance;
  • reduce search engine rankings;
  • increase security risks; or
  • constitute a material breach of the Agreement.

Nothing in this section prohibits Client from engaging professionals performing services outside Carbette’s scope of work, provided those services do not materially interfere with Carbette’s engagement.

Carbette reserves the right to suspend work until unauthorized conflicts have been resolved.

11. Website & Account Access

Because Carbette manages critical marketing infrastructure, Client agrees to maintain reasonable security over all digital assets.

Unless otherwise agreed in writing, Client shall not provide administrator, developer, hosting, DNS, registrar, CMS, analytics, advertising platform, CRM, email marketing, automation, or similar elevated access to third parties without notifying Carbette.

Without prior written approval from Carbette, Client shall not knowingly permit third parties to materially modify systems managed by Carbette, including but not limited to:

  • Website code
  • Themes
  • Plugins
  • Hosting configuration
  • DNS records
  • SSL certificates
  • Robots.txt
  • XML sitemaps
  • Google Search Console
  • Google Analytics
  • Google Tag Manager
  • Google Business Profile
  • Google Ads
  • Meta Business Manager
  • Meta Ads
  • CRM systems
  • Marketing automation
  • Lead routing
  • Tracking scripts
  • Conversion tracking

Carbette shall not be responsible for any loss, interruption, ranking decline, security incident, performance degradation, corrupted data, broken functionality, advertising disruption, or other damages resulting from changes made by Client or unauthorized third parties.

Any corrective work required as a result of unauthorized modifications shall be billed at Carbette’s then-current rates.

12. Out-of-Scope Services

Growth Plans include only those services specifically identified within the applicable Statement of Work, Proposal, or Growth Plan description.

Examples of work that may be considered outside the approved scope include:

  • Additional website pages
  • Additional design concepts
  • Custom development
  • Emergency requests
  • Weekend work
  • Additional photography sessions
  • Additional consulting
  • New advertising campaigns
  • Platform migrations
  • Integrations
  • Training beyond the agreed scope
  • Copywriting beyond included deliverables

Out-of-scope work shall require written approval before commencement and may be billed separately.

Carbette reserves the right to decline requests that materially exceed the original project scope.

13. Client Delays & Dormant Projects

Client acknowledges that timely communication is essential to successful project completion.

If Client fails to provide requested approvals, content, credentials, or other required information, Carbette may pause work until required materials are received.

Projects delayed by Client for more than thirty (30) consecutive days may be placed on hold.

Projects remaining inactive for ninety (90) consecutive days may, at Carbette’s discretion:

  • require a restart fee;
  • require a revised timeline;
  • require a revised proposal;
  • be closed; or
  • be rescheduled based upon current availability.

Carbette shall not be responsible for missed deadlines resulting from Client inactivity.

14. Revisions & Approvals

Unless otherwise stated in an applicable Statement of Work, Carbette includes a reasonable number of revisions appropriate to the project.

Reasonable revisions do not include:

  • changes in business direction;
  • new creative concepts;
  • redesign requests;
  • additional deliverables;
  • expanded project scope; or
  • work requested after final approval.

Client approval constitutes acceptance of the submitted work.

Following approval, additional revisions may require additional fees.

If Client requests revisions substantially different from the originally approved scope, Carbette may issue a revised proposal before proceeding.

Failure to provide requested revisions or approvals within a reasonable time may result in project delays, suspension, or closure.

Client is responsible for carefully reviewing all deliverables prior to publication, printing, advertising, launch, or implementation.

Carbette shall not be responsible for errors approved by the Client before publication or launch.
